Terms of Service
Definitions
- “Platform”
- The XCIV.ai web application, software, APIs, and related services operated by XCIV.ai LLC, including all AI-powered coaching tools, roster management features, scouting modules, and player development tools.
- “User”
- Any individual who registers for an account on the Platform, including coaches, assistant coaches, athletic directors, and school administrators.
- “Organization”
- A school, school district, athletic program, or AAU organization that has entered into a subscription agreement with XCIV.ai LLC.
- “Student Data”
- Any personally identifiable information relating to student athletes entered into the Platform, including names, grades, positions, performance statistics, coachability notes, and training program data.
- “User Content”
- Any documents, scouting materials, game footage references, notes, or other content uploaded or entered into the Platform by a User.
- “AI-Generated Content”
- Game plans, training programs, scouting reports, and other outputs generated by the Platform's artificial intelligence features in response to User inputs.
- “FERPA”
- The Family Educational Rights and Privacy Act, 20 U.S.C. § 1232g, and its implementing regulations at 34 CFR Part 99.
Acceptance of Terms
These Terms of Service (“Terms”) constitute a legally binding agreement between you and XCIV.ai LLC (“Company,” “we,” “us,” or “our”). By creating an account, accessing, or using the Platform in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms.
If you are using the Platform on behalf of a school or organization, you represent and warrant that you have full authority to bind that entity to these Terms. In such case, “you” refers to both the individual user and the organization.
If you do not agree to these Terms, you may not access or use the Platform.
Platform Description
XCIV.ai provides an AI-powered coaching platform designed for high school, middle school, and AAU basketball coaches. The Platform includes:
- —Multi-team roster and player profile management
- —AI-generated game plans and scouting reports based on uploaded materials
- —Per-player AI training program generation with video resource links
- —Opponent scouting profiles and cross-season intelligence
- —Season scheduling and tournament management tools
- —Document parsing and upload capabilities
The Platform is intended solely for use by authorized coaching staff and school personnel. It is not intended for direct use by student athletes or parents.
Account Registration
To access the Platform, you must register for an account. You agree to:
- —Provide accurate, current, and complete registration information
- —Maintain the security of your account credentials and not share login access
- —Promptly update your account information if it changes
- —Accept responsibility for all activity that occurs under your account
- —Notify us immediately at zack@xciv.ai if you suspect unauthorized access
You must be at least 18 years of age to create an account. Accounts are for individual use only unless you have entered into a multi-seat organizational agreement.
Acceptable Use
You agree to use the Platform only for its intended coaching and team management purposes. You may not:
- —Use the Platform for any unlawful purpose or in violation of any applicable laws or regulations
- —Enter, upload, or process data about individuals without proper authorization from the relevant school or organization
- —Share, sell, or redistribute Player Data, AI-Generated Content, or opponent scouting profiles to third parties for commercial purposes
- —Attempt to reverse engineer, decompile, or extract underlying AI models or algorithms from the Platform
- —Use automated scripts, bots, or scrapers to access Platform data
- —Circumvent any access controls, data isolation mechanisms, or security features
- —Enter false or misleading information about student athletes
- —Use the Platform in any manner that could disparage, demean, or harm a student athlete's reputation or opportunities
Student & Player Data
This section governs the handling of personally identifiable information about student athletes, which may constitute “education records” under FERPA.
Your responsibilities as a User:
- —You represent that you are authorized by your school or organization to enter student data into the Platform under applicable FERPA exceptions (including the “school official” exception)
- —You are solely responsible for obtaining any required consents or authorizations from your school or district before entering student data
- —You agree not to enter Student Data for any purpose other than the direct coaching and player development functions of the Platform
Our responsibilities as Platform operator:
- —We store Student Data solely for the purpose of providing the Platform services and do not sell, share, or use Student Data for commercial, advertising, or research purposes
- —Student Data is isolated per organization — data entered by one school or program is not visible to any other organization
- —We will notify you of any confirmed data breach affecting your organization's data within 72 hours of discovery
- —We will delete or return all Student Data associated with your account upon written request or account termination
Data deletion: Coaches may request full data purge for any individual student at any time by contacting zack@xciv.ai. Purge requests will be processed within 30 days.
AI-Generated Content
The Platform uses artificial intelligence to generate game plans, scouting reports, and player training programs. You acknowledge and agree that:
- —AI-Generated Content is provided as a coaching tool and decision-support aid — it does not replace the professional judgment of a qualified coach
- —AI-Generated Content may contain errors, inaccuracies, or inapplicable recommendations and should be reviewed critically before use
- —You are solely responsible for all coaching decisions, whether or not informed by AI-Generated Content
- —XCIV.ai LLC makes no warranty that AI-Generated Content is suitable for any particular player, opponent, or game situation
- —You own the AI-Generated Content produced from your inputs, subject to our right to use aggregated, anonymized platform data to improve the service
We do not use individual player data from one organization to train models or generate outputs for other organizations.
Subscription & Billing
Access to the Platform is offered on a subscription basis. By subscribing, you agree to:
- —Pay all applicable subscription fees in accordance with the pricing plan you select at time of registration
- —Provide valid payment information and authorize recurring charges for the subscription period
- —Accept that subscription fees are generally non-refundable except as described in our refund policy or required by applicable law
We reserve the right to modify subscription pricing with at least 30 days' written notice. Continued use of the Platform after a price change takes effect constitutes acceptance of the new pricing.
Free trial periods, if offered, automatically convert to paid subscriptions unless cancelled before the trial end date. You will receive a reminder email at least 48 hours prior to conversion.
Intellectual Property
Our IP: The Platform, including its software, interface design, AI models, and all underlying technology, is owned by XCIV.ai LLC and protected by applicable intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Platform during your active subscription.
Your content and data: You retain all ownership rights to User Content you upload to the Platform and to Player Data associated with your organization. You grant us a limited license to process this content solely to provide the Platform services.
Opponent scouting data: Opponent profiles and scouting notes you create are owned by your organization. We do not share or sell this data to other organizations or third parties.
Feedback: If you provide feedback or suggestions about the Platform, you grant us the right to use such feedback without restriction or compensation.
Disclaimers
The Platform is provided “as is” and “as available” without warranties of any kind, either express or implied. To the fullest extent permitted by law, XCIV.ai LLC disclaims all warranties, including but not limited to:
- —Warranties of merchantability or fitness for a particular purpose
- —Warranties that the Platform will be uninterrupted, error-free, or free of viruses or harmful components
- —Warranties regarding the accuracy, reliability, or completeness of AI-Generated Content
- —Warranties that the Platform will meet any specific coaching, competitive, or educational outcome
Nothing in these disclaimers limits our obligations with respect to Student Data handling, which are governed by applicable law and any executed Data Processing Agreement.
Limitation of Liability
To the maximum extent permitted by applicable law, XCIV.ai LLC and its officers, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Platform.
Our total cumulative liability to you for any claims arising out of or related to these Terms or the Platform shall not exceed the greater of (a) the total subscription fees you paid to us in the 12 months preceding the claim, or (b) one hundred dollars ($100).
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the greatest extent permitted by law.
Indemnification
You agree to indemnify, defend, and hold harmless XCIV.ai LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to:
- —Your violation of these Terms
- —Your use of the Platform in a manner not authorized herein
- —Your entry of Student Data into the Platform without proper authorization from your school or organization
- —Any violation of applicable law, including FERPA and state student data privacy laws, arising from your actions
- —Any claim by a student athlete or their family arising from your use of coachability notes or AI-generated training content
Termination
By you: You may cancel your subscription at any time through your account settings or by contacting support. Cancellation takes effect at the end of the current billing period.
By us: We reserve the right to suspend or terminate your account immediately, without notice, if we determine in our sole discretion that you have violated these Terms, engaged in fraudulent activity, or pose a risk to the security or integrity of the Platform or data of other users.
Effect of termination: Upon termination, your license to use the Platform ceases immediately. We will retain your data for 90 days following termination to allow you to request an export. After 90 days, your data may be permanently deleted. Requests for immediate deletion can be made to zack@xciv.ai.
Modifications to Terms
We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by:
- —Posting the updated Terms on the Platform with a new “Effective” date
- —Sending an email notification to your registered address at least 14 days before changes take effect
Your continued use of the Platform after the effective date of revised Terms constitutes your acceptance of the changes. If you do not agree to updated Terms, you must cancel your subscription before they take effect.
Governing Law & Disputes
These Terms are governed by and construed in accordance with the laws of the State of Kansas, without regard to conflict of law principles.
Any dispute arising out of or related to these Terms or the Platform shall first be submitted to good-faith negotiation. If not resolved within 30 days, disputes shall be submitted to binding arbitration under the rules of the American Arbitration Association, conducted in Kansas. The prevailing party may recover reasonable attorneys' fees.
You waive any right to participate in a class action lawsuit or class-wide arbitration against XCIV.ai LLC.
Nothing in this section prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction for claims involving intellectual property or data security.
